What you need to know about the Board of Director’s
of The Women's Rural Resource Centre (WRRC)

The role of the WRRC Board of Directors is to ensure that:

  • Outcomes of staff and volunteer activities are worth the resources consumed

  • The behavior of the staff, volunteer and board is legal, ethical and prudent
  • The values and perspectives of the greater community are taken into account in all decision-making
  • The Board and Executive Director are accountable for their actions

Terms of Office:  The term of office is three years and directors are elected at the Annual General Meeting or vacancies may be filled by the directors provided a quorum of the directors remains in office.  There are 7 directors on the WRRC board. 

Fundraising:  Some of the fundraising activities include direct mail out, event functions such as IQ Challenge, BBQ’s, Daisy of Hope campaign each May, etc.  There is an expectation to attend fundraising events, participate in annual campaigns etc.   

Time Requirements:  The time required of a member of the WRRC board is a minimum of 5 hours per month for board meetings, committee meetings, orientation sessions and special events including prep time.  We do most of our work in meetings.  We cannot do a good job or meet deadlines without full participation from members.   

Board Meetings:  The full board meets at least 9 times per year.

Committee Meetings:  The only Board committee is the Development Committee which oversees public communications for the agency and fundraising. This committee is comprised of three Board members plus community volunteers and the Executive Director. 

Other Time Commitments:  Annual General Meeting is held in June .  There are at least 2 social events per year where staff, friends of organization and board members can interact.

Approach to Governance:  The Board’ approach emphasizes strategic leadership more than administrative detail; clear distinction of Board and staff roles; a focus on the future rather than the past or present and proactively rather than reactively.  Governance policies were developed using the Carver model.


Vision, Purpose and Values

Vision:
To end abuse against women and children.

Purposes:

1.  Ensure the availability of a safe environment for use by women and their children

2.  Enhance women’s capacity to make informed choices

3.  Support and promote community accountability for woman abuse

4.  Provide advocacy for abused women who require WRRC services

5.  Ensure financial accountability in the management of WRRC resources

 

Values include:

  • Accountability

  • Respect


Expectations of WRRC Board Members (Board Process Policy 2.3):

Board members may NOT:

  • Engage in any unethical, illegal, or imprudent behavior that may cause embarrassment to the agency or community it serves.

  • Engage in Board discussions or decisions, which personally benefit the Board member, The Board member’s family or the Board member’s close acquaintance(s).

  • Share information of a confidential nature about WRRC operations or clients.

  • Withhold information from the Board which impacts on its ability to meets its obligations as a body. 

  • Take action as an individual Board member unless so directed by the Board as a whole.

  • Be unaware of the role of the agency or of external trends, politics or issues impacting on the WRRC.

  • Promote the agency in a manner which reflects poorly on the WRRC, its staff and volunteers or the Board.

  • Continue to serve on the Board unless she/he attends the WRRC Board orientation in a timely fashion.

  • Act in manner inconsistent with policy regarding WRRC Board Meeting Process.

  • Denigrate publicly any decision made by the Board as a whole.

  • Possess a criminal record and sit as a member of the WRRC board.
